Program Overview

This seminar will cover a range of policy issues at the intersection of corporate governance and securities regulation. Among other issues, we may cover the role of shareholders and other stakeholders in the governance of public companies; the debate over mandatory disclosure; the role and regulation of informational gatekeepers; the operation and regulation of securities and derivatives markets, intermediaries, and other major participants; and the development and regulation of financial products. Weekly meetings will be devoted to discussion of excerpts from books, law review articles, and regulatory materials. Assessment will be based on participation in weekly discussions (20%), several short reaction papers (20%), an in-class presentation of research in progress (10%), and a thirty-five-page research paper (50%).
