Program Overview

This course introduces students to the principles, processes, and techniques for drafting business contracts. Students will learn how transactional lawyers translate a business deal into contract provisions. Students will draft commercial agreements with a focus on managing risk, minimizing ambiguity, drafting with clarity, using contemporary commercial drafting techniques, and solving problems through effective drafting. Students will also learn to read, review, and analyze contracts to identify and address both legal and business risk issues. The course is presented through a combination of lecture, drafting and editing assignments, and in-class exercises.
