Program Overview

This mini-course is taught by Louis Fishman, with a possible appearance by Andrew Moore (on video) and David Bonderman. Other distinguished guests are expected from time to time. The course carries one semester hour of credit and meets for six two-hour sessions. It is graded on the P, D, F basis. It began as a course on how corporate governance failures contributed to the Enron debacle. It now considers the legal and business problems that grew out of corporate governance failures by Sir Conrad Black in connection with the Hollinger companies, and the approach of the Delaware courts to Disney making a severance payment exceeding $130,000,000 in lieu of claiming that a questionable hire was terminated for cause.
